will this cpu work with this mobo

Of course I'm a novice builder (1st try). I have an Acer aspire 1641 that quit working so I'm going to put in a new mobo and cpu. I will be trying to use all the present hardware except the RAM. A little advice sure would be helpful. i google aspire 1641 and it shows it as a laptop, which won't take a desktop motherboard and processor. Also, the windows is licensed to the motherboard, you'll have to contact microsoft and possibly buy a new copy, which is 100, or use a windows 8 preview.
