Will this fit?

Hm not sure, is your P4 2.8ghz socket 478 or T? But that heatsink looks kinda crappy. if you want to cool down your P4, you'll need to probably get a better heatsink.
 
Notice the AKASA AK-675 COOLER FOR P4 478PIN 2.8GHz seen at newegg? That is the same as P4= type of Intel cpu 478PIN = Socket type = 478 The last part is obvious as the model cpu's operating frequency. Your cpu is a Socket 478 and the cpu cooler seen at newegg is designed for use on an Intel Socket 478 model cpu. yours!

Apparently they only carry two different brands of coolers. Ouch! That does make the selection rather small to make comparisons with to others like the Gigabyte mode they carry seen at http://www.computerorbit.co.uk/Itemdesc.html?ic=GIGPCU32VH&eq=&Tp=

The idea behind these coolers is to do a better job seeing lower temps when they are used inplace of the heat sink/fan combination that usually comes with the processor itself. Someone here that has used the Akasa brand could give you a better idea of which model or brand is better. But that model you selected will work.
 
The Intel cooler is plenty sufficient. Don't waste your steak. Just make sure the one you have is not clogged with dust and is functioning and you'll be fine. :)
 
Nah, you don't need that cooler, unless you're overclocking the CPU a great deal and then I wouldn't recommend that particular unit anyways.
 
Well..some prescotts do heat up alot. LIke my old celeron D 2.66ghz in the emachine, the cpu would crank up to about 5000RPM, sounding like a fricken vacume cleaner. So a new cpu cooler would have been VERY nice there.
 
I have a 2.8GHz Prescott in one of my machines. It only has the standard fare on it that came with the processor. Other than getting clogged with dust, which is bloody annoying, it has done quite well. I've had the CPU up to 3.3GHz and it just chugs along, happy as can be. Go figure... :P
