One is an upgrade version and the other is an OEM version to do a fresh install. If you are wanting to upgrade then you would need the upgrade version. However, if you are having any issues at all with your operating system now, your best bet is just to do a fresh install as if you were to upgrade, all your problems will be transferred over to the new OS as well.

as best i can see jaree, the first one is a full oem version another words you can do a clean install and dont need say windows xp or vista already installed you could install it to a blank drive, but as far as i know you can only use an oem version once the machine you install it too once it dies the oem dies with you cant transfer it too another machine, which you can with the full retail version, the 2nd one you listed is an upgrade version meaning you cant install it say to a brand new drive, you need to have a version of windows already installed and you upgrade over the top of that.
