Windows Vista Ultimate upgrade

How does the upgrade work, do u have to have windows xp installed to install vista or can u just have the license cuz i don't want to pay 300 bucks for a license.

This is my problem, i'm going to build a new computer and i wanna get windows vista ultimate but not pay like 300 bucks so i'm gonna get the upgrade for 200 bucks. On the new computer to install vista ultimate upgrade, do you have to already have windows xp installed or can you just use a license. If you can use a license, can you use a license from a brand name computer? What i mean is that i have a dell right now with XP, can i use the license from that computer for the upgrade?

Well the Vista Ultimate upgrade you were talking about has more than the Vista Premium S/B OEM, the System Builders Premium Vista is the same as the retail but without support and its tied to the computer its installed on.
 
but what i'm saying is to use the upgrade can u use a license from a dell xp, and use that on another computer or do u have to buy a new license
