Get a motherboard with intelchipset instead, preferably not ASRock.

Yes get a better hsf.

Consider a better psu since the ones delivered in cases for $39.00 often is downright crap.

Are you going to play games on this? If so put some more $ on a better graphicscard.

Also, you don't wanna use any memory modules slower than PC-3200 in this system.

Not necessarily. You might be fine with 512 MB depending on what apps your using. Adding your 256 would just drop the speed of your 512 to PC2700. Thats kind of case dependant of whether its better to have more RAM at a lower speed, or less at a higher speed

For the HSF - I would get a copper one. You're buying a Prescott which is known for its high temps.

Motherboard - an Intel 865 chipset should be fine and it should allow for some future upgrades. I usually go for Asus or Abit though there are other good brands.

Looks pretty good. I have that PSU in one of my computers and its worked well so far, and its nice having active PFC. I actually meant and all copper HSF (my fault, I should have been more specific). It probably won't make any difference though. Vantec is a good brand; my only concern is that its running at 5600 rpm it might be a little loud. All in all, that setup should be good.

Also, I'm not to concerned about the noise, anything is probably quieter then what i have now lol.

Very true however 256MB @ PC3200 will never outpace 512MB @ PC2700 except in benchmarks ... and those mean crap all
